1. Agreement to Terms

By engaging i Labs ("we," "our," or "us") for any services, you ("the Client") agree to be bound by these Terms and Conditions. These terms apply to all services including website development, custom software development, business automation, AI agents, and system integration.

2. Services Offered

i Labs provides the following technology services:

  • Website Development: Design, development, and deployment of websites
  • Custom Software Development: Bespoke software applications including CRMs, ERPs, dashboards, and mobile apps
  • Business Automation: Workflow automation, WhatsApp integration, and scheduling systems
  • AI Agents: Chatbots, document processors, and intelligent automation systems
  • System Integration: Connecting existing software tools and platforms

3. Project Scope & Deliverables

The scope of each project will be mutually agreed upon before work begins. Any changes to the agreed scope may result in additional charges and timeline adjustments. We will communicate any changes clearly before proceeding.

4. Payment Terms

  • All prices are quoted in Indian Rupees (₹) and are inclusive of applicable taxes unless stated otherwise.
  • For website projects: Full payment is due before development begins, unless otherwise agreed.
  • For custom software projects (above ₹15,000): 50% advance payment to begin, 50% upon delivery.
  • For large projects (above ₹1,00,000): Custom milestone-based payment schedules can be arranged.
  • Accepted payment methods: UPI, bank transfer, and other digital payment methods.
  • Late payments may result in project delays or suspension of services.

5. Timelines & Delivery

We commit to the following standard delivery timelines:

  • Websites: 48-72 hours for standard projects; 1-2 weeks for complex projects
  • Custom Software: 2-8 weeks depending on complexity
  • Timelines are estimates and may vary based on project complexity and client responsiveness
  • Delays caused by late content delivery or delayed feedback from the client may extend timelines

6. Intellectual Property

  • Client Ownership: Upon full payment, the Client owns all deliverables including source code, design files, and content created specifically for the project.
  • Third-Party Assets: Any third-party tools, libraries, or assets used remain under their respective licenses.
  • Portfolio Rights: i Labs reserves the right to showcase completed projects in our portfolio unless the Client explicitly requests otherwise.
  • Pre-existing IP: Any tools, frameworks, or code that i Labs developed independently before or during the project remains our intellectual property.

7. Revisions & Changes

  • Website projects include unlimited revisions during the development phase.
  • Once a project is approved and deployed, additional changes may be charged separately.
  • Major scope changes require a revised quote and timeline.

8. Post-Launch Support

  • Starter website plans include 1 month of free support.
  • Growth plans include 3 months of free support.
  • Premium and software plans include 6 months of free support.
  • Support covers bug fixes, minor updates, and technical assistance.
  • After the free support period, monthly maintenance plans are available.

9. Hosting & Domain

Unless otherwise specified, hosting is included in the project cost. The Client is responsible for domain registration and renewal, though we can assist with the setup. We use reliable hosting providers (Cloudflare, AWS) with 99.9% uptime guarantees.

10. Confidentiality

Both parties agree to keep all project-related information confidential. This includes but is not limited to business strategies, technical details, pricing, and customer data. This obligation survives the termination of our engagement.

11. Limitation of Liability

i Labs shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of our services. Our total liability shall not exceed the total amount paid by the Client for the specific project in question.

12. Termination

  • Either party may terminate the engagement with 7 days written notice.
  • In case of termination, the Client will be billed for work completed up to the termination date.
  • Deliverables completed up to the termination date will be handed over to the Client upon payment.
  • Advance payments are non-refundable once work has commenced.

13. Force Majeure

Neither party shall be liable for delays or failures in performance caused by circumstances beyond reasonable control, including but not limited to natural disasters, power outages, internet disruptions, government actions, or pandemics.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts in Pune, Maharashtra.

15. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting on our website. Continued use of our services constitutes acceptance of the modified terms.
